Jocelyn R. Esguerra-Dee specializes in corporate law, banking, and securities.

She was admitted to the Philippine Bar in 1999. She joined Siguion Reyna, Montecillo & Ongsiako in 2001.

She has background in transactions involving lending and financing arrangements, securities registration, securitization, listing and compliance requirements, registration and compliance with banking laws and regulations. She has extensive experience in local and cross-border mergers and acquisitions that involved corporations, such as Siemens AG, Siemens, Inc., Nestle Philippines, Inc., Asea Brown Boveri, Inc., and Euro RSCG. She advises a wide range of clients from those belonging to Forbes top 50 to non-stock and non-profit corporations such as foundations and microfinance companies.

She has recently led the legal team that represented Nestlé S.A. in the Philippine aspect of the $11.85 billion acquisition of Pfizer’s infant nutrition business. She also advised HSBC in the sale of the assets of its Philippine subsidiary in pursuit of the sale of HSBC’s credit card unit to Capital One Financial Corp. in 2013.

She gives legal advice to foreign entities intending to invest or do business in the Philippines and assists in organizing the legal vehicle through which the investment shall be undertaken. She also renders corporate housekeeping services and assistance in the preparation and assessment of corporate governance rules, sitting as Director and Corporate Secretary in the Board of Directors of certain Philippine corporations.

She has made representations, on behalf of clients, with government regulatory agencies such as the Securities and Exchange Commission, Philippine Stock Exchange, Bangko Sentral ng Pilipinas, and Insurance Commission.

She earned her Bachelor of Laws degree from the University of the Philippines College of Law and her Bachelor of Arts in Philosophy from the same university where she graduated cum laude.

Ms. Esguerra-Dee is married with three kids. She is family-oriented and values time management.
